RULES AND RELATED MATTERS REVISION OF RULE CONCERNING HOLDING PERIOD AND DISCLOSURE REQUIREMENTS FOR MEMBERS' AND EMPLOYEES' INVESTMENT COMPANY TRANSACTIONS The Commission adopted amendments to Rule 5 of the Commission's Conduct Regulation, 17 C.F.R. 200.735-5, that, among other things: (i) establish a 30-day holding period for the transfer of funds within a family of registered investment companies, other than money market fund shares; and (ii) require that Commission employees report every acquisition or sale of investment company shares, other than money market fund shares. These amendments will become effective 30 days after publication in the Federal Register. (Rel. 34-49562) USE OF FORM S-8 AND FORM 8-K BY SHELL COMPANIES On April 15, the Commission issued a release proposing amendments that would: * prohibit shell companies from using Form S-8, the form used by public companies to register securities in connection with employee benefit plans under the Securities Act of 1933; and * require a public shell company, when obligated to report a corporate event on Form 8-K that causes it to cease being a shell company, to include the same type of information as it would be required to file to register a class of securities under the Securities Exchange Act of 1934. The amendments represent an attempt to assure that investors in shell companies that acquire operations or assets have access on a timely basis to the same kind of information as is available to investors in public companies with continuing operations. In addition, the proposals are intended to protect investors by deterring fraud and abuse in the securities markets through the use of shell companies. The proposed amendments to Form S-8 would allow a company that ceases to be a shell company to use Form S-8 to register securities 60 days after it has filed information equivalent to the information filed by companies registering a class of securities under the Exchange Act. The proposals would define the term "shell company" to mean a company with no or nominal operations, and with no or nominal assets or assets consisting solely of cash and cash equivalents. The definition would include foreign private shell companies, but the release solicits comment on the manner in which these companies should report the information that would be required on Form 8-K for a domestic shell company. (Rels. 33-8407; 34- 49566; File No. S7-19-04) ENFORCEMENT PROCEEDINGS IN THE MATTER OF KENNETH WINGER, CHARTERED ACCOUNTANT, AND PAUL HUMPHREYS, CHARTERED ACCOUNTANT Kenneth W. Winger and Paul R. Humphreys, both Chartered Accountants, have been temporarily suspended from appearing or practicing before the Commission pursuant to Rule 102(e)(3) of the Commission's Rules of Practice. Winger, former Chief Executive Officer, and Humphreys, former Vice President and Chief Financial Officer of Safety-Kleen Corp., engaged in a fraudulent accounting scheme in which Commission filings made by Safety-Kleen between November 1998 and March 2000, and press releases issued by the company during the same time period, contained materially false and misleading financial statements and disclosures. Winger and Humphreys also made false and misleading statements and omissions to auditors. In addition, Humphreys knowingly circumvented and failed to implement internal accounting controls and knowingly falsified and caused others to falsify the company's books, records, and accounts. On Nov. 18, 2003, the U.S. District Court for the Southern District of New York entered a final judgment by default, finding that Winger and Humphreys violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5 and 13b2-2 promulgated thereunder, that Humphreys violated Section 13(b)(5) of the Exchange Act and Rule 13b2-1 thereunder, and enjoining Winger and Humphreys from future violations of those same provisions. The court also ordered that Winger and Humphreys be prohibited from acting as an officer or director of any public company, that Winger pay disgorgement and prejudgment interest in the amount of $249,323.55, and a civil penalty in the amount of $190,471.58, and that Humphreys pay disgorgement and prejudgment interest in the amount of $85,832.46, and a civil penalty in the amount of $65,562.00. The Commission instituted the Rule 102(e)(3) proceeding and temporarily suspended Winger and Humphreys based on the injunctions entered against them. If Winger and Humphreys do not file timely petitions with the Commission to lift the temporary suspensions, the suspensions will become permanent. If Winger and Humphreys file timely petitions, the Commission may either lift the temporary suspension or set the matter for an administrative hearing, or both. If a hearing is ordered, following the hearing, the Commission may lift the suspension, censure the individuals, or disqualify them from appearing or practicing before the Commission for a period of time or permanently. Publication of the proposal in the Federal Register is expected during the week of April 19.
