SEC NEWS DIGEST Issue 2004-198 October 14, 2004 COMMISSION ANNOUNCEMENTS SEC PROPOSES IPO ALLOCATION REFORMS On October 13, the Commission proposed amendments to Regulation M that would prohibit certain market activities that undermine the integrity and fairness of the offering process, particularly with respect to the allocation of Initial Public Offerings (IPOs). The amendments would also enhance the transparency of underwriters’ aftermarket activities. Adopted in 1996, Regulation M governs the activities of underwriters, issuers, selling security holders, and others in connection with offerings of securities. Regulation M is designed to prohibit activities that could artificially influence the market for the offered security, including for example, supporting the IPO price by creating the perception of scarcity of IPO stock or creating the perception of aftermarket demand. The proposed amendments would: * Lengthen the “restricted period” for IPOs beyond the current 5-day period. The restricted period is the time period during which distribution participants must refrain from activity that could stimulate the market for the security in distribution. Under the proposal, the restricted period for an IPO generally would begin when the issuer reaches an understanding with an underwriter to proceed with a distribution. * Require syndicate covering bids, indicating that the underwriter is buying shares to cover its short position, to be publicly disclosed to the market, similar to what is required for stabilizing bids under the current Rule. * Prohibit the use of penalty bids, which also can function as an undisclosed form of stabilization. Penalty bids occur when an underwriter reclaims a selling concession from a syndicate member if the offering security is immediately sold by the initial purchaser. * Adopt a new rule under Regulation M that would expressly prohibit certain IPO abuses that occurred in the late 1990’s and in other “hot issue” periods, including conditioning or “tying” an allocation of shares on an agreement by the customer to buy shares in another less desirable (cold) offering, or to pay excessive trading commissions on unrelated securities transactions. * Require recordkeeping in connection with the rule’s “de minimis exception,” which excepts inadvertent bids and purchases during the restricted period that total less than 2% of the distributed security’s average daily trading volume (ADTV). Frequent reliance on the exception could indicate that a firm’s compliance policies and procedures are inadequate to achieve compliance with Regulation M. * Update the ADTV value and public float value thresholds (which are used to determine a security’s restricted period and the availability of the exception for actively-traded securities) to reflect the increase in market value since Regulation M’s adoption in 1996. The comment period for the proposals will end 60 days from the date of publication of the proposed rules in the Federal Register. (Press Rel. 2004-145) ENFORCEMENT PROCEEDINGS HAROLD GALLISON, JR. AND TERRENCE HUGHES BARRED Harold B. Gallison, JR. (Gallison), and Terrence J. Hughes (Hughes) have been barred from association with a broker-dealer, and Gallison has been barred from participating in an offering of a penny stock. The sanctions were ordered in an administrative proceeding before an administrative law judge, following a court-ordered injunction against them. Gallison and Hughes are permanently enjoined from violating the antifraud provisions of the federal securities laws. The injunction was based on their involvement in a market manipulation scheme to sell the securities of Golf Ventures, Inc., a now-defunct company, to the public. IN THE MATTER OF PERFORMANCE SPECIALIST GROUP LLC SEC Appoints Fund Administrator in NYSE Specialist Cases On October 13, the Commission issued orders (Orders) appointing a fund administrator to administer funds paid, pursuant to prior Commission orders, by the seven New York Stock Exchange (NYSE) specialist firms: Bear Wagner Specialists LLC; Fleet Specialist, Inc.; LaBranche & Co. LLC; Spear, Leeds & Kellogg Specialists LLC; Van der Moolen Specialists USA, LLC; Performance Specialist Group LLC; and SIG Specialists, Inc. Pursuant to the Commission’s March 30, 2004, and July 26, 2004, orders, the seven specialist firms were ordered to pay a total of $247,028,778 in disgorgement and civil penalties. The Orders create Fair Funds and appoint Heffler, Radetich & Saitta L.L.P (Heffler Radetich), a public accounting firm that specializes in class action and other fund administrations, as Administrator of the funds. The Orders further provide that Heffler Radetich shall draw up a plan, for approval by the Commission, to identify the customers who were injured as a result of the specialist firms’ trading violations as previously determined by the Commission staff and the NYSE. Finally, the Orders provide that the funds paid by the specialist firms shall be transferred to an escrow account to be invested in short-term U.S. Treasury securities pending their ultimate distribution to injured customers. Goodman (Goodman), a resident of North Andover, MA. The Order is based on a final order and judgment against Goodman in SEC v. Goodman, et al., Civil Action No. 01-CV-10163 (the Civil Action). In the Civil Action, the court found that Goodman violated Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and Sections 206(1) and 206(2) of the Advisers Act and ordered him to pay a civil penalty of $220,000. The court also permanently enjoined Goodman from violating those provisions. The Division of Enforcement’s complaint in the Civil Action alleged that Goodman obtained $800,000 through two fraudulent investment schemes. Beginning in February 2000, Goodman represented that investors could invest in a special pool of funds, which he would use to purchase stock in IPOs. Goodman obtained additional investor funds by falsely representing that he could provide clients with a “special” arbitrage program in the stock of Lycos, Inc. Goodman, however, did not use any of the investor funds to make the advertised investments, but rather converted most of the money for his personal benefit. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Goodman an opportunity to dispute these allegations, and to determine whether Goodman should be barred from being associated with an investment adviser or whether any other remedial action is in the public interest. The Order requires that the administrative law judge shall issue an initial decision no later than 210 days from the date of service of the Order, pursuant to Rule 360(a)(2) of the Commission’s Rules of Practice. IA-2313; File No. 3-11708) FINAL JUDGMENT ENTERED AGAINST GINO CARLUCCI AND G&G CAPITAL On October 6, a Final Judgment was entered against Gino Carlucci (Carlucci) and G&G Capital, LLC (G&G), a limited liability company controlled by Carlucci. Carlucci and G&G were permanently enjoined from future violations of the antifraud provisions of the federal securities laws and ordered to pay disgorgement of $1,012,453.00 plus prejudgment interest thereon together with a civil penalty of $1,076,486.31. Carlucci was also enjoined from future violations of the issuer reporting and officer certification provisions of the Securities Exchange Act of 1934 and placed under officer-director and penny stock bars. Finally, Carlucci and G&G were ordered to dismiss an adversary proceeding they had filed against the Commission in the United States Bankruptcy Court for the District of Arizona. In October 2003, the Commission filed a complaint, in the U.S. District Court for the District of Utah, against twenty-one individuals and entities involved in a scheme to sell securities in five United States- based microcap issuers to hundreds of investors located primarily in the United Kingdom, Australia and New Zealand through a boiler room located in Vientiane, Laos. In that action, the Commission obtained an order which, among other things, froze the assets of a number of defendants, including Carlucci. On March 17, 2004, the Court found Carlucci and G&G in contempt of the order freezing Carlucci’s assets. The Final Judgment, to which the defendants consented without admitting or denying the allegations of the Commission’s complaint, specifically enjoins Carlucci and G&G from future violations of Section 10(b) of the Exchange Act and Rule 10b-5 promulgated thereunder, and Section 17(a) of the Securities Act of 1933 and orders Carlucci and G&G to pay disgorgement of $1,012,453.00, together with prejudgment interest thereon in the amount of $64,033.31, and a civil penalty of $1,076,486.31. The Final Judgment also enjoins Carlucci from future violations of Rule 13a-14 under the Exchange Act and from aiding and abetting violations of Section 13(a) of the Exchange Act and Rules 12b-20, 13a-11, and 13a-13 thereunder. The judgment also bars Carlucci from acting as an officer or director of any issuer that has a class of securities registered pursuant to Section 12 of the Exchange Act or that is required to file reports pursuant to Section 15(d) of the Exchange Act as well as barring Carlucci from participating in any offering of penny stock.
